AI is no longer adjacent to strategy—it is how strategy is executed. It is influencing pricing, credit decisions, supply chains, hiring, and customer engagement at scale. Yet across boardrooms, a critical gap persists – strategy is being approved, but the systems executing it are not being governed with the same rigour.
This is not a technology issue. It is an accountability failure.
Recent global research points to a consistent pattern. The Stanford AI Index (2025) highlights a continued increase in AI-related incidents, even as adoption accelerates. McKinsey’s State of AI reports show that while companies are rapidly deploying AI, far fewer have implemented risk management and governance structures that match that pace. The NACD (National Association of Corporate Directors) has also emphasised that boards are increasingly expected to oversee AI risk, yet many lack structured reporting or defined accountability mechanisms to do so effectively.
The implication is clear: AI is scaling decision-making faster than organisations are scaling accountability. And where accountability is unclear, control is an illusion.
In traditional governance models, accountability is relatively straightforward. A business unit owns outcomes. A risk function oversees exposure. Internal audit provides independent assurance. But AI disrupts this structure. Decisions are no longer linear or easily traceable. They are distributed across data pipelines, models, and automated processes.
This creates a fundamental question for boards: Who is accountable when an AI system makes a wrong decision? In many organisations, the honest answer is simple: no one is.
Data scientists build the model. IT deploys it. Business teams use the output. Risk and compliance are consulted, sometimes late. But ownership of the outcome, especially unintended consequences, remains diffuse. This fragmentation is where governance breaks down, and it is where boards must intervene.
Accountability in AI is not about assigning blame after failure. It is about designing ownership before deployment. Without it, oversight becomes reactive, and strategy becomes exposed.
Boards can anchor accountability in three practical ways.
First, require clear executive ownership for AI systems.
Every material AI system should have a named executive accountable for its outcomes—not just its performance but its impact. This is not symbolic. It creates a direct line between decision-making systems and leadership responsibility. Without this, AI operates in organisational grey zones where risks accumulate without escalation.
Second, demand visibility into how AI is executing strategy.
Boards routinely approve strategic initiatives – digital transformation, customer growth, and operational efficiency. Increasingly, AI is the engine behind these outcomes. Yet many boards do not receive structured reporting on how AI systems are performing against those objectives, what risks they introduce, or where controls are failing. Oversight must extend beyond strategy approval to strategy execution through AI systems.
Boards should expect structured visibility into:
- Where AI is being used in decision-making
- What risks are associated with those decisions?
- Whether controls are effective and operating as intended
Without this visibility, boards are governing intent, not reality.
Third, embed accountability into governance structures, not just policies.
Many organisations have responsible AI principles. Fewer have operationalised them into decision rights, escalation pathways, and performance metrics. Accountability must be reflected in how decisions are made, reviewed, and challenged. This includes integrating AI risk into existing governance forums – risk committees, audit committees, and board reporting cycles – rather than treating it as a standalone or technical issue.
The absence of accountability does not slow AI adoption. It simply shifts risk to the organisation and, ultimately, to the board.
This is where the fiduciary dimension becomes unavoidable. When AI systems make decisions that affect customers, markets, or financial outcomes, boards are expected to exercise oversight. Regulators are increasingly reinforcing this expectation, whether through the EU AI Act, evolving guidance across African data protection authorities, or global supervisory trends emphasising accountability and auditability.
The question is no longer whether boards should engage.
It is whether they can demonstrate that they did.
For boards in Africa and other emerging markets, this moment presents both risk and opportunity. Many operate in environments where regulatory frameworks are still maturing, but where the real-world impact of AI is immediate – financial inclusion, access to services, and public sector delivery. This creates a unique opportunity to embed accountability early, rather than retrofit it after failure.
The organisations that will lead are not those that deploy AI the fastest. They are those that can show, clearly and consistently, who is responsible, how decisions are governed, and what happens when things go wrong.
Because without accountability, AI is not just a tool for executing strategy—it is a system operating beyond control.
